Terms of Service

By accessing or using Saya's services ("Services"), including but not limited to visiting the Saya website located at saya.gg ("Website"), or saya.bot ("Website"), or adding the Saya Bot ("Bot") to your Discord server, you ("User") hereby acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Agreement"). If you do not agree to these terms in their entirety, you are expressly prohibited from using the Services and must discontinue use immediately.

In this Agreement:
- "Saya," "we," "us," and "our" refer to Saya and its affiliates, directors, officers, employees, and agents.
- "Services" means all products, features, applications, websites, or other services operated by Saya.
- "User," "you," and "your" refer to any individual or entity using our Services.

• The User shall comply with all applicable local, state, national, and international laws and regulations in connection with the use of the Services.
• User acknowledges that use of the Services is additionally subject to Discord's Terms of Service and Community Guidelines, and any violation thereof constitutes a violation of this Agreement.
• User shall promptly report any violations of applicable laws, regulations, or Discord policies to Saya via email at contact@saya.gg.

User is expressly prohibited from engaging in the following activities in relation to the Website:

• Any attempt to exploit, hack, damage, disrupt, or gain unauthorized access to the Website or its systems;
• Any use of the Website for unlawful, fraudulent, or malicious purposes;
• Scraping, collecting, or harvesting any information from the Website for unauthorized purposes;
• Framing or mirroring any portion of the Website without prior written authorization;
• Copying, reproducing, distributing, or claiming ownership of any content, design elements, or proprietary information from the Website.

5.1 User is expressly prohibited from engaging in the following activities in relation to the Bot:
a. Violation of Discord's Terms of Service or Community Guidelines;
b. Reproducing, duplicating, copying, selling, or reselling any portion of the Bot's functionality;
c. Facilitating, enabling, or encouraging others to reproduce Saya's services or features;
d. Exploitation of bugs, glitches, or vulnerabilities in the Bot's functionality;
e. Operation of a Discord server that has been previously terminated for policy violations;
f. Organizing, participating in, or encouraging harassment, "raids," or targeted attacks against Saya or its staff.

5.2 Enforcement Rights. Saya reserves the right, at its sole and absolute discretion, to:
a. Terminate access to the Services, temporarily or permanently, with or without prior notice;
b. Remove, disable, or restrict the availability of any content;
c. Take appropriate legal action against Users who violate these terms;
d. Pursue any and all remedies available at law or in equity for violations of this Agreement;
e. Investigate and prosecute violations to the fullest extent of the law.

5.3 No Waiver. Saya's failure to enforce any right or provision of this Agreement shall not be considered a waiver of such right or provision.

6.1 In the event a User receives a refund under any circumstances, Saya reserves the right, at its sole discretion, to blacklist said User's Discord account and permanently ban the User from accessing all Saya Services.

7.1 Purchase of License. By purchasing a subscription or making a one-time payment for the Services, the User is granted a non-exclusive, revocable license to access and use the Services in accordance with this Agreement. This license is non-transferable, meaning it may not be assigned, sold, or otherwise transferred to another individual or entity. However, as outlined in Section 8, the User is entitled to one (1) free transfer of the Bot to a different Discord server.

7.2 Agreement to Terms. The purchase or use of the Services, whether through a subscription or one-time payment, constitutes the User's explicit acknowledgment and agreement to be bound by all terms and conditions set forth in this Agreement.

8.1 Each User subscription includes one (1) free transfer of the Bot to a different Discord server. Any additional transfers require purchase of a new subscription.

8.2 Additional transfers beyond the initial free transfer are subject to the sole discretion of Saya's management and shall not be construed as an entitlement.

8.3 Saya shall not be liable for any loss resulting from the deletion or termination of a User's Discord server by Discord or any other third party.

8.4 Once a transfer has been completed, the transfer is final and cannot be undone.

9.1 No Agency Relationship. Saya does not have any affiliation, association, partnership, or agency relationship with any Discord servers or communities that use our Services.

9.2 Independent Actions. Users acknowledge and agree that Saya exercises no control over the conduct, actions, content, or data of third parties using our Services.

9.3 Disclaimer of Liability. Saya expressly disclaims any and all liability for actions, conduct, or content generated by any Discord server, community, or individual User of our Services.

10.1 Saya does not guarantee continuous, uninterrupted, or secure access to our Services.

10.2 Saya reserves the absolute right to refuse service, terminate accounts, or remove or edit content if Saya determines a User's conduct violates applicable law or otherwise conflicts with Saya's business interests.

10.3 Saya reserves the right to terminate User's access immediately without prior notice or liability for any reason, including breach of this Agreement.

10.4 All provisions of this Agreement which by their nature should survive termination shall survive termination.

User agrees to defend, indemnify, and hold harmless Saya, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to User's violation of this Agreement or User's use of the Services.

UNDER NO CIRCUMSTANCES SHALL SAYA BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM USER'S ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

13.1 Saya reserves the right to modify, amend, or update this Agreement at any time at its sole discretion without notice to User.

13.2 User's continued use of the Services following the posting of any amendments constitutes acceptance of those amendments.

13.3 Violation of any amended terms may result in immediate termination of User's access to all Services.

14.1 If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.

14.2 This Agreement constitutes the entire agreement between Saya and User regarding the Services and supersedes all prior agreements and understandings, whether written or oral.
